Terms and Conditions

1. Acceptance of Terms

By accessing and using Gulanity (hereinafter, the "Platform"), you agree to be bound by these Terms and Conditions of Use. If you do not agree with these Terms, do not use the Platform. Gulanity is a product developed and operated by Neocody, S.L.

2. Description of Service

Gulanity is a platform that offers smart digital menu services (Smart Menu) for restaurants. The service allows restaurants to:

• Convert their current menu into a digital Smart Menu with structured dish cards
• Manage dishes, prices, ingredients, allergens, tags and images
• Share the menu via QR or link
• Offer customers useful filters to decide what to order
• Manage dish availability in real time

End users can view the menus of participating restaurants through the Gulanity web or app, without needing to download any application.

3. Registration and User Accounts

3.1. Registration

To access the management features of the Platform, the restaurant must register and create an account. The User agrees to provide accurate, complete and up-to-date information during the registration process and to maintain the security of their access credentials.

3.2. User Responsibility

The User is solely responsible for all activity conducted under their account. The User agrees to immediately notify Neocody, S.L. of any unauthorized use of their account or any other security breach.

3.3. Suspension and Cancellation

Neocody, S.L. reserves the right to suspend or cancel User accounts in case of breach of these Terms or for any other justified reason, without prior notice.

4. Permitted Use of the Platform

4.1. Restaurants

Restaurants using Gulanity agree to:

• Provide truthful and up-to-date information about their dishes, prices, ingredients and allergens
• Not use the Platform for illegal purposes or that violate third-party rights
• Keep their menu information updated

4.2. End Users

Users who view menus through Gulanity agree to use the Platform responsibly, without engaging in abusive behavior, spam or any other inappropriate use.

5. Restaurant Responsibility for Information

The restaurant is solely responsible for the accuracy and truthfulness of the information uploaded to their menu: dishes, descriptions, prices, ingredients, allergens, tags and images. The restaurant warrants that they have all necessary rights to such content.

Gulanity structures the information based on the menu provided by the restaurant, but the restaurant maintains control and final responsibility for the published information. Before sharing the Smart Menu, the restaurant validates the information.

6. Intellectual Property

6.1. Platform Content

The Platform and all its content (including, but not limited to, design, source code, graphics, logos, trademarks, etc.) are the exclusive property of Neocody, S.L. or its licensors and are protected by intellectual and industrial property laws.

6.2. Limited Use License

The User is granted a limited, non-exclusive, non-transferable and revocable license to access and use the Platform in accordance with these Terms. The User is not authorized to copy, modify, distribute, sell, rent or otherwise exploit the Platform content without prior written consent from Neocody, S.L.

6.3. License for Uploaded Content

The restaurant retains intellectual property rights to the content uploaded to Gulanity. By uploading content, the restaurant grants Neocody, S.L. a non-exclusive, worldwide, transferable, sublicensable and royalty-free license to use, store, display, reproduce and distribute such content within the scope of providing Platform services.

7. Service Availability

Neocody, S.L. strives to maintain the Platform continuously available but does not guarantee uninterrupted service availability. The Platform may be temporarily unavailable due to maintenance, updates or causes beyond our control.

8. Limitation of Liability

8.1. No Warranties

The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose and non-infringement.

8.2. Damages

Neocody, S.L. shall not be liable for any direct, indirect, incidental, special, consequential or punitive damages resulting from access to or use of the Platform or inability to access or use it.

9. Privacy and Data Protection

The processing of Users' personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

10. Modifications to Terms

Neocody, S.L. reserves the right to modify these Terms at any time by publishing the updated version on the Platform. Users are advised to periodically review the Terms. Continued use of the Platform after publication of modifications will constitute acceptance of the new Terms.

11. Applicable Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain. Any dispute arising in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Madrid.
